1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the DaitchPro website, applications, and services (collectively, the “Services”). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

DaitchPro LLC (“DaitchPro,” “Company,” “we,” “us,” or “our”) provides a unified AI-powered automation platform that includes, but is not limited to:

• AI Voice Agents – Automated inbound and outbound communication with customers.
• AI Chat Agent – AI-powered messaging and conversational support.
• Native CRM – Customer relationship and data management.
• Native Funnel System – Lead capture, nurturing, and conversion tools.
• DaitchPro Automation Engine – Workflow and business process automation.
• DaitchPro Meet – Online meeting and collaboration system with recording and storage capabilities.
• Marketplace – A platform where third-party sellers can list and sell AI products and services, and buyers can purchase them.
• Affiliate Program – A referral-based program allowing approved affiliates to earn commissions.
• Communication and Analytics Tools – Including reporting and performance insights.

DaitchPro may modify, update, or discontinue any part of the Services at its discretion.

3. Eligibility

To use the Services, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement.
• Comply with all applicable laws and regulations.

4. User Roles

The Services may be accessed by different types of users, including:

• Agency Owners: Entities managing multiple clients through the platform.
• Individual Clients: Businesses or individuals using DaitchPro for their own operations.
• Marketplace Sellers: Third parties offering AI products or services.
• Marketplace Buyers: Users purchasing products or services from sellers.
• Affiliates: Approved partners promoting DaitchPro in exchange for commissions.
• Meeting Participants: Individuals participating in DaitchPro Meet sessions.

Each user agrees to comply with these Terms and any additional agreements applicable to their role.

5. Account Registration and Security

5.1 Registration

Users may be required to create an account to access certain features. You agree to:

• Provide accurate and complete information.
• Keep your account information updated.
• Maintain the confidentiality of your login credentials.

5.2 Account Responsibility

You are responsible for all activities that occur under your account. You must notify DaitchPro immediately of any unauthorized use or security breach.

5.3 Account Suspension or Termination

DaitchPro reserves the right to suspend or terminate accounts that violate these Terms or pose security or legal risks.

6. Acceptable Use

You agree not to:

7. AI Services and Automation

7.1 Nature of AI Services

DaitchPro’s AI Voice and Chat Agents provide automated responses based on algorithms and machine learning. While we strive for accuracy, we do not guarantee that AI-generated outputs will always be error-free or suitable for every situation.

7.2 User Responsibility

Users are responsible for:

• Reviewing AI-generated communications.
• Ensuring compliance with applicable laws (e.g., call recording and consent laws).
• Providing appropriate disclosures when interacting with customers.

7.3 Prohibited Uses of AI

Users may not use AI services for:

• Illegal activities.
• Harassment or discrimination.
• Dissemination of false or misleading information.
• Unauthorized surveillance or data collection.

8. DaitchPro Meet (Meetings and Recordings)

8.1 Recording of Meetings

DaitchPro Meet allows users to record audio, video, chat, and shared content during meetings. These recordings are stored securely in DaitchPro’s databases.

8.2 User Consent

Users are responsible for obtaining all necessary consents from meeting participants before recording, as required by applicable laws.

8.3 Access and Retention

Meeting recordings are accessible only to authorized users and are retained according to DaitchPro’s data retention policies.

9. Marketplace

9.1 Role of DaitchPro

DaitchPro acts as a platform provider connecting buyers and sellers and is not a party to transactions between them unless explicitly stated.

9.2 Seller Responsibilities

Marketplace sellers are responsible for:

• The accuracy of product listings.
• Compliance with applicable laws.
• Delivery and support of their products or services.
• Payment of applicable taxes and fees.

9.3 Buyer Responsibilities

Marketplace buyers are responsible for reviewing product descriptions and complying with any seller-specific terms.

9.4 Fees and Commissions

DaitchPro may charge service or commission fees for marketplace transactions, as disclosed on the platform.

10. Affiliate Program

Participation in the DaitchPro Affiliate Program is governed by separate documents:

11. Payments and Subscriptions

11.1 Fees

• You authorize DaitchPro to charge your selected payment method.
• All fees are exclusive of applicable taxes.

17. Limitation of Liability

To the fullest extent permitted by law, DaitchPro shall not be liable for any indirect, incidental, consequential, or punitive damages. DaitchPro’s total liability shall not exceed the amount paid by you to DaitchPro in the 12 months preceding the claim.

18. Indemnification

You agree to indemnify and hold harmless DaitchPro, its officers, employees, and affiliates from any claims, damages, or liabilities arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your infringement of any third-party rights.

19. Termination

DaitchPro reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or applicable laws.

20. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Maryland, United States, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in Maryland, unless otherwise required by law.

21. Changes to the Terms

DaitchPro may update these Terms at any time. Changes will be indicated by the Last Updated date. Continued use of the Services after such changes constitutes acceptance of the revised Terms.

22. Miscellaneous

22.1 Entire Agreement

These Terms constitute the entire agreement between you and DaitchPro regarding the Services.

22.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22.3 Waiver

Failure by DaitchPro to enforce any provision of these Terms shall not constitute a waiver of that provision.

22.4 Assignment

You may not assign or transfer your rights under these Terms without prior written consent from DaitchPro. DaitchPro may assign its rights without restriction.
