DaitchPro Affiliate Program Terms & Conditions

1. Definitions

• Affiliate: An individual or entity approved by DaitchPro to promote its products or services and/or submit potential client leads.
• Affiliate Link: A unique tracking URL assigned to an Affiliate for referral purposes, including campaign-specific links and QR codes.
• Lead: A potential customer submitted by an Affiliate through the Affiliate Dashboard.
• Accepted Lead: A lead reviewed and approved by DaitchPro as valid and eligible for further sales engagement.
• Closed Won: A lead that has successfully converted into a paying customer.
• Closed Lost: A lead that did not result in a successful sale.
• Commission: The compensation paid to an Affiliate for successful referrals or Closed Won deals.
• Qualified Purchase: A valid purchase made by a new customer resulting from an Affiliate’s referral or accepted lead.
• Affiliate Dashboard: The online portal where Affiliates can submit leads, track performance, manage referral links, and monitor commissions.
• Commission Wallet: The section of the dashboard where Affiliates can view commission statuses, including Pending, Earned, Approved, and Paid.

2. Enrollment in the Program

2.1 Application

To participate, applicants must submit an affiliate application through the DaitchPro website. All information provided must be accurate and complete.

2.2 Approval

• DaitchPro reserves the sole right to approve or reject any application.
• Approval is not guaranteed.
• Applicants must be at least 18 years of age.

2.3 Account Responsibility

Affiliates are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account.

3. Affiliate Relationship

• Affiliates act as independent contractors and not as employees, partners, or agents of DaitchPro.
• Affiliates have no authority to bind DaitchPro to any agreement.
• Participation does not create any joint venture, franchise, or employment relationship.

4. Referral Methods

4.1 Unique Referral Links

Affiliates will receive unique referral links that may include campaign-specific URLs and QR codes. Only referrals tracked through these official mechanisms are eligible for commissions.

4.2 Lead Submission

Affiliates may submit potential customer information through the Submit Lead feature in the Affiliate Dashboard. Required information may include:

• Client Name
• Company Name
• Email Address
• Phone Number
• Country
• Business Type
• Estimated Deal Size (optional)
• Additional Notes

4.3 Lead Validation and Ownership

• All submitted leads are subject to review and approval by DaitchPro.
• Leads may be marked as Accepted, In Progress, Closed Won, or Closed Lost.
• Duplicate, fraudulent, or previously known leads may be rejected.
• Commission eligibility is determined solely by DaitchPro.

5. Commission Structure

5.1 Commission Eligibility

Affiliates earn commissions only when:

• A lead is Accepted and subsequently marked as Closed Won, or
• A customer completes a Qualified Purchase through the Affiliate’s referral link.

5.2 Commission Calculation

• Commissions are calculated based on the actual revenue received by DaitchPro from the customer.
• Any Estimated Deal Size provided by the Affiliate is for informational purposes only and does not determine the final commission.

5.3 Commission Statuses

Commissions are tracked within the Commission Wallet and may include the following statuses:

• Pending: Awaiting deal closure or validation.
• Earned: Deal successfully closed.
• Approved: Verified and scheduled for payout.
• Paid: Commission has been disbursed to the Affiliate.

5.4 Exclusions

Commissions will not be paid for:

• Self-referrals.
• Duplicate or invalid leads.
• Cancelled, refunded, or chargeback transactions.
• Fraudulent or deceptive activities.
• Leads not accepted by DaitchPro.

6. Payment Terms

6.1 Payment Schedule

• Approved commissions are paid on a monthly basis, typically within 30–45 days after approval.
• Payments are subject to a minimum payout threshold of [e.g., $100].

6.2 Payment Methods

Payments may be made via:

• Bank Transfer (ACH/Wire)
• PayPal
• Wise

• Stripe Connect
DaitchPro reserves the right to modify available payment methods.

6.3 Taxes

• Affiliates are responsible for all applicable taxes.
• U.S. Affiliates must submit a W-9 form.
• Non-U.S. Affiliates must submit a W-8BEN or W-8BEN-E form.
• DaitchPro may withhold payments if required by law.

7. Use of Affiliate Dashboard

Affiliates are granted access to the DaitchPro Affiliate Dashboard, which includes:

• Dashboard Analytics: Overview of leads, conversions, and earnings.
• Submit Lead: Manual submission of potential clients.
• My Leads: Tracking lead status and deal progress.
• Commission Wallet: Monitoring commission lifecycle and payouts.
• Referral Tools: Access to referral links, campaign links, QR codes, and performance metrics.

DaitchPro reserves the right to modify dashboard features at any time.

8. Permitted Promotional Activities

Affiliates may promote DaitchPro using:

• Websites and blogs
• Social media platforms
• Email marketing (with proper consent)
• Webinars and events
• Educational or review content
• Paid advertising (subject to restrictions)

All promotional content must be truthful and not misleading.

9. Prohibited Activities

Affiliates are strictly prohibited from:

• Sending spam or unsolicited communications.
• Making false or misleading claims.
• Bidding on “DaitchPro” trademarked keywords without permission.
• Engaging in cookie stuffing or tracking manipulation.
• Submitting duplicate or fraudulent leads.
• Using their own referral links for personal purchases.
• Offering unauthorized incentives.
• Promoting DaitchPro on illegal or harmful platforms.
• Misusing DaitchPro branding or intellectual property.

10. FTC and Advertising Compliance

Affiliates must comply with all applicable advertising and disclosure laws, including Federal Trade Commission (FTC) guidelines. Affiliates must clearly disclose their relationship with DaitchPro, for example: “This post contains affiliate links. I may earn a commission if you sign up through my link at no additional cost to you.”

11. Intellectual Property

DaitchPro grants Affiliates a limited, non-exclusive, non-transferable, and revocable license to use its trademarks and marketing materials solely for promotional purposes. All intellectual property rights remain the exclusive property of DaitchPro.

12. Confidentiality

Affiliates agree to keep confidential any non-public information received from DaitchPro, including commission structures, customer data, and business strategies. This obligation survives termination.

13. Data Protection and Privacy

Affiliates must comply with all applicable data protection laws, including GDPR and CCPA/CPRA. Affiliates may only submit lead information where they have obtained lawful consent from the individual.

14. Term and Termination

14.1 Term

This Agreement begins upon approval and continues until terminated by either party.

14.2 Termination by DaitchPro

DaitchPro may terminate participation immediately for violations, fraudulent conduct, inactivity, or reputational harm.

14.3 Effect of Termination

• All licenses granted to the Affiliate cease immediately.
• Approved commissions for Qualified Purchases prior to termination will be paid.
• Suspected fraudulent commissions may be withheld.

15. Limitation of Liability

To the fullest extent permitted by law, DaitchPro shall not be liable for indirect or consequential damages. Total liability shall not exceed the commissions paid to the Affiliate in the preceding 12 months.

16. Indemnification

Affiliates agree to indemnify and hold harmless DaitchPro from any claims arising from breaches of this Agreement or unlawful marketing practices.

17. Modification of Terms

DaitchPro reserves the right to modify these Terms at any time. Continued participation in the program constitutes acceptance of the updated terms.

18. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Maryland, United States. Any disputes shall be resolved through binding arbitration in Maryland.
